Linkhome Terms of Use

Introduction

These Terms of Use (“Terms”) govern your access to and use of the Linkhome.com website and services (collectively, the “Services”) provided by Linkhome Holdings Inc. (“Linkhome,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy (incorporated herein by reference). If you do not agree with these Terms, you must discontinue use of the Services immediately. These Terms apply to all users of Linkhome nationwide within the United States.

We may update or modify these Terms from time to time at our sole discretion. If we make changes, we will post the updated Terms on our website and update the “Effective Date” accordingly. Continued use of the Services after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to any updated Terms, you should stop using the Services.

Description of Services

Linkhome provides an online platform for real estate services, including displaying property listings (some of which include Multiple Listing Service (MLS) data), providing information about real estate agents, enabling users to schedule home viewings, and facilitating initial contact or transaction intent with real estate professionals. Linkhome itself is not a real estate brokerage and does not represent buyers or sellers in any transaction. The Services act as a venue to connect you with third-party real estate professionals and to provide informational listings of properties. We do not engage in brokering, buying, or selling real estate, nor do we guarantee any property details or transactions.

Account Registration and Eligibility

Some features of our Services require you to create an account. When registering for an account, you agree to provide truthful, current, and complete information about yourself, and to update such information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.

By creating an account or using our Services, you represent that you are at least 18 years of age (or the age of majority in your jurisdiction) and are legally capable of entering into binding contracts. If you are under 18, you may use the Services only with involvement of a parent or legal guardian. You also represent that you are not barred from using the Services under any applicable laws.

User Obligations and Acceptable Use

You agree to use Linkhome Services only for lawful purposes and in compliance with these Terms. As a condition of your use, you further agree that you will not:
– Violate Laws or Regulations: Use the Services in any manner that violates any applicable local, state, national, or international law or regulation.
– Provide False Information: Submit false, misleading, or fraudulent information to us or through the Services, including when filling out forms or communicating with real estate agents.
– Infringe Rights: Post or transmit any content that infringes or violates the intellectual property rights, privacy rights, or other rights of any party.
– Harass or Harm: Use the Services to transmit any unlawful, defamatory, harassing, abusive, obscene, or otherwise objectionable content. This includes content that is hateful or discriminatory, or that could constitute or encourage a criminal offense.
– Spam or Solicit: Use the Services to send unsolicited or unauthorized advertising, spam, junk mail, chain letters, pyramid schemes, or any other form of solicitation.
– Interfere with Service Operation: Attempt to interfere with the proper working of the Services or any other user’s use of the Services. Prohibited conduct includes introducing viruses or any other harmful code, launching any automated system (such as “robots” or “spiders”) to access the Services in a manner that sends more request messages to our servers than a human can reasonably produce in the same time, or otherwise attempting to disrupt the Services.
– Unauthorized Access: Attempt to gain unauthorized access to any portion of the Services, other user accounts, or any systems or networks connected to the Services (for example, by hacking, password mining, or any other illegitimate means).
– Scraping and Data Extraction: Use any manual or automated means such as scripts, bots, or web crawlers to scrape, crawl, or collect data or content from the Services, especially property listing data, without our express written permission. Automated queries (including screen and database scraping, spiders, and crawlers with the purpose of obtaining information) are strictly prohibited.
– Reverse Engineering: Decompile, reverse-engineer, or otherwise attempt to extract or derive the source code or underlying ideas or algorithms of any part of the Services.
– Commercial Use Without Permission: Reproduce, duplicate, copy, sell, trade, resell, or exploit for any commercial purpose any portion of the Services or any content available through the Services without our prior written consent. This includes any use of the property listings, images, descriptions, or other content outside of the intended personal real estate search purposes.

Violation of any of the above may result in suspension or termination of your access to the Services (see Termination below) and may subject you to legal consequences.

MLS Data and Third-Party Content

Many property listings on Linkhome include data provided by third parties, such as MLS databases, real estate brokers, or agents (“Third-Party Content”). This Third-Party Content is made available to you for your personal, non-commercial use only, and may be used solely to identify potential properties in which you have an interest. You agree not to use MLS listing data obtained through our Services for any purpose other than personal research for buying, selling, or renting properties. In particular, you must not copy, redistribute, publish, or commercially exploit any MLS data or other third-party property information from our Site.

All listing information is provided to Linkhome by third parties and is believed to be reliable but is not guaranteed to be accurate or up-to-date. Such information has not been verified by Linkhome, and may not be verified by the listing broker or MLS either. We do not guarantee the completeness or accuracy of any property data, including availability, pricing, descriptions, photographs, or any other details. All information should be independently verified by you (or with the help of appropriate professionals) before making any decision or taking any action in reliance on it.

Additionally, property listings may be subject to specific disclaimers or usage rules required by the source MLS or other data provider. By using the Services, you agree to any such applicable MLS terms of use and disclaimers, including but not limited to the requirement that listing data be used only for personal, non-commercial purposes and not for any unauthorized dissemination.

Any content on the Services that is provided by third parties (including property listings, agent information, and user-submitted content) remains the property of its respective owners. Linkhome does not claim ownership of third-party content and all such content is subject to the intellectual property rights of the respective owners or licensors. We simply have a license or permission to display that content via our platform.

If you believe that any MLS data or other content on our Site violates any policy or law or is displayed in error, please contact us so we can address the issue.

Intellectual Property Rights

All content and materials available through the Services, including but not limited to text, images, graphics, logos, button icons, videos, software code, and data compilations (collectively, “Content”), are the property of Linkhome or our licensors and are protected by United States and international intellectual property laws. This includes content provided by Linkhome as well as content licensed from third parties (such as MLS listing data). We grant you a limited, revocable, non-exclusive, non-transferable license to access and make personal use of the Services and the Content for its intended purposes (e.g., viewing listings and information for personal real estate decisions). This license does not allow you to: download (other than page caching) or modify any portion of the Services, or reproduce, copy, sell, resell, distribute, or exploit the Content for any commercial purpose without our express written consent.

You must not remove, obscure, or alter any copyright, trademark, or other proprietary rights notices on the Site or within any Content. All trademarks, service marks, logos, and trade names displayed on the Site are the registered or unregistered marks of Linkhome, its affiliates, or third parties. Nothing in these Terms grants you any license or right to use any trademark or logo displayed on the Services without the owner’s prior written permission.

User-Submitted Content: If you voluntarily submit or post any content to the Services (for example, feedback, reviews, comments, or other information not including personal data covered by the Privacy Policy), you grant Linkhome a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content (in whole or in part) and to incorporate it in other works in any form or medium. You represent that you have all necessary rights to any content you provide and that such content does not infringe or violate the rights of any third party. We reserve the right (but not the obligation) to remove any user-submitted content from the Services that we determine violates these Terms or is otherwise objectionable.

No Professional Advice or Brokerage Services

All information and content provided through the Services, including property listings, market data, and articles, are for informational purposes only and should not be construed as professional advice. Linkhome is not acting as a real estate broker or agent for any user. Any real estate transaction you may pursue through information obtained on our Site is solely between you and the relevant buyer, seller, or licensed real estate agent or broker. Linkhome does not broker deals, attend open houses or showings, negotiate contracts, or otherwise perform any real estate agency services on your behalf. We strongly encourage you to seek the services of licensed professionals (such as real estate brokers, agents, home inspectors, attorneys, or financial advisors) before making any real estate transaction decisions.

Use of the Services does not create any fiduciary or agency relationship between you and Linkhome. We are not responsible for the acts or omissions of the third-party real estate professionals or any other third parties that you may encounter through our platform. Linkhome makes no endorsements or warranties regarding any real estate agent, lender, or other service provider you may connect with via our Services. Any arrangements or agreements you enter into with such third parties are strictly between you and them.

Disclaimer of Warranties

Linkhome provides the Services on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, Linkhome disclaims all warranties of any kind, either express or implied, regarding the Services and the information, content, and materials included therein. This includes, but is not limited to, any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy of data. We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

You expressly agree that your use of the Services is at your sole risk. Any material or data downloaded or otherwise obtained through the use of our Services is accessed at your own discretion and risk, and you will be solely responsible for any damage to your device or loss of data that results from obtaining any such material.

Third-Party Content: Linkhome does not control or vet Third-Party Content (including MLS data, listings, or information provided by real estate professionals) for accuracy. We make no representation or warranty regarding any Third-Party Content. Any reliance on information from the Services, including Third-Party Content, is at your own risk. Linkhome is not responsible for the accuracy, completeness, or usefulness of information originating from third parties, and such content does not constitute any endorsement or warranty by Linkhome.

No advice or information, whether oral or written, obtained by you from Linkhome or through the Services shall create any warranty not expressly stated in these Terms.

Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Linkhome, its parent company, affiliates, officers, directors, employees, agents, or partners be liable to you for any indirect, incidental, special, consequential, or punitive damages whatsoever arising out of or in connection with your access to or use of (or inability to use) the Services, or any errors or omissions in the content thereof. This limitation of liability applies regardless of the legal theory under which such damages are sought, and even if Linkhome has been advised of the possibility of such damages.

Specifically, Linkhome will not be liable for any loss of profits, loss of data, loss of business, loss of goodwill, or other intangible losses; or for any damage to your computer system or device, or for any claim of third parties; or for any cost of substitute services arising out of your use of or inability to use the Services.

In jurisdictions that do not allow the exclusion or limitation of certain damages, our liability will be limited to the maximum extent permitted by law. If you are dissatisfied with any portion of the Services or with these Terms, your sole and exclusive remedy is to discontinue use of the Services.

Some states or jurisdictions do not allow the exclusion of certain warranties or limitations on liability, so some of the above disclaimers and limitations may not apply to you. In such cases, Linkhome’s liability will be limited to the fullest extent permitted by applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless Linkhome Holdings Inc., its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees and costs) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms or of any law or regulation; (c) any content you submit or transmit through the Services; or (d) your infringement of any rights of another person or entity. We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claim. You shall not settle any such claim without our prior written consent.

Termination

We reserve the right to suspend or terminate your account or your access to all or part of the Services at any time, for any reason, and without prior notice, including if we believe you have violated these Terms or engaged in any conduct that we, in our sole discretion, consider inappropriate or harmful. You acknowledge that Linkhome shall not be liable to you or any third party for any termination of your access to the Services.

If your account is terminated, you remain obligated to abide by the terms that by their nature are intended to survive termination (such as intellectual property provisions, warranty disclaimers, indemnity, and limitations of liability). You may also terminate your own account or cease using the Services at any time. Upon any termination, all rights and licenses granted to you in these Terms will immediately cease.

Governing Law and Jurisdiction

These Terms of Use and any dispute arising out of or relating to the Services or these Terms shall be governed by the laws of the State of Nevada, without regard to its conflict of law principles. By using the Services, you agree that any legal action or proceeding arising under these Terms will be brought exclusively in the state or federal courts located in Clark County, Nevada, and you expressly consent to the personal jurisdiction and venue of those courts.

If you access or use the Services from other jurisdictions, you do so at your own risk and are responsible for compliance with local laws. We make no representations that the Services are appropriate or available for use in locations outside the United States, and accessing them from territories where their content is illegal is prohibited.

Miscellaneous

Modification of Services: We reserve the right to modify, suspend, or discontinue all or any portion of the Services at any time, with or without notice. We will not be liable to you or any third party for any such modification or discontinuance.

Entire Agreement: These Terms (along with the Privacy Policy and any other legal terms expressly incorporated by reference) constitute the entire agreement between you and Linkhome regarding your use of the Services, and supersede any prior agreements between us on the subject matter.

Severability: If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms shall not operate as a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Linkhome.

Assignment: You may not assign or transfer these Terms (or any of your rights or obligations hereunder) without our prior written consent. We may freely assign these Terms as part of a merger, acquisition, or other transfer of our assets or by operation of law.

No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights; no person or entity other than you and Linkhome (and permitted assigns) shall have any right to enforce any term of this agreement.
